1. Definitions

In these Terms of Service (the "Terms"), the following defined terms have the meanings set out below:

• "Account": the personal user account created by You on the Hailo Platform, containing Your profile, Health Data, and account settings.

• "Content": all text, data, information, insights, recommendations, graphs, educational materials, and other materials displayed on or transmitted via the Platform.

• "Dashboard": the personal online interface provided by Hailo where You can view Your lab results, Insights, action recommendations, and progress tracking.

• "Hailo" or "We": Hailo B.V., KvK 96483482, Prinsengracht 769 A, 1017 JZ Amsterdam, Netherlands.

• "Health Data": all personal health and wellness information You provide or that is generated by the Service, including lab test results, biomarker measurements, health history, and lifestyle information.

• "Insights": evidence-based wellbeing interpretations and recommendations generated by Hailo's intelligent system based on Your lab results and Health Data.

• "Lab Partner": the laboratory or laboratories engaged by Hailo to perform analysis of Your samples and deliver laboratory results.

• "Platform": the Hailo online platform and mobile application(s), including the Dashboard, ordering interface, and results delivery system.

• "Privacy Policy": Hailo's data protection and privacy policy, available at https://hailo.health/en/privacy.

• "Services" or "Service": the Hailo platform providing informational wellbeing insights based on laboratory test results. The Services include: (a) the ordering and fulfilment of laboratory test kits, (b) the Dashboard for viewing results and trends, (c) Insights based on Your test results, and (d) action recommendations. The Services do not constitute medical advice, diagnosis, treatment, or professional medical care.

• "Subscription": Your active annual subscription to the Hailo Service at the agreed price.

• "User" or "You": any natural person aged 18 or over who creates an Account and uses the Hailo Platform.

• "Wellbeing Information": all Health Data, lifestyle information, assessment results, and other data You provide to support the Service.

2. Scope and applicability

These Terms of Service govern Your access to and use of the Hailo Platform, Services, and all related content and functionality.

By creating an Account on the Hailo Platform, or by using the Services in any manner, You accept and agree to be bound by these Terms, the Privacy Policy, and the Medical Disclaimer (available at https://hailo.health/en/medical-disclaimer).

These Terms, the Privacy Policy, and the Medical Disclaimer together constitute the entire agreement between You and Hailo regarding Your use of the Service.

Governing law

These Terms are governed by and construed in accordance with the laws of the Netherlands, without regard to its conflict of law principles. In particular, Hailo's Terms are subject to Dutch consumer protection law, including the Dutch Civil Code (Burgerlijk Wetboek), Book 6, Title 5, Section 3 (Algemene Voorwaarden).

Availability and modification

Hailo makes these Terms available for download and storage before and after Account creation. You may request a copy at any time by emailing info@hailo.health.

Hailo may amend these Terms with 30 days' advance notice to You via email. Continued use of the Service after the notice period constitutes acceptance of the amended Terms. For material changes that materially reduce Your rights, Hailo will obtain Your re-consent before the changes take effect.

3. Account registration and eligibility

• Minimum age. You must be at least 18 years of age to create an Account and use the Hailo Service.

• Residence. For the current version (v1) of the Service, You must reside in the Netherlands.

• Accuracy of information. You agree to provide accurate, complete, and current information during registration and to maintain the accuracy of Your Account information. You are responsible for the accuracy of all information You provide, including any Health Data or personal information.

• One account per person. You may not create more than one Account for personal use. You agree not to share Your Account credentials with any other person.

• Account security. You are solely responsible for maintaining the confidentiality of Your password and Account credentials. You agree to notify Hailo immediately of any unauthorised use of Your Account. Hailo is not liable for any loss or damage arising from Your failure to protect Your Account credentials.

• Right to suspend. Hailo reserves the right to suspend or terminate Your Account at any time if Hailo has reasonable grounds to believe that You have breached these Terms, provided false information, or engaged in fraudulent, unlawful, or harmful conduct.

4. Service description

Hailo provides an intelligent laboratory testing platform designed for general wellbeing and prevention. The Service enables You to:

• Order laboratory test kits tailored to Your profile and health interests

• Receive laboratory test results via the Hailo Dashboard

• Access evidence-based wellbeing insights and educational information derived from Your test results

• Receive prioritised action recommendations based on Your results

• Track and trend Your results over time

Critical disclaimer

"The Services are informational and educational in nature. They do not constitute medical advice, diagnosis, treatment, or a substitute for professional medical care. Hailo is not a healthcare provider (zorgaanbieder) under Dutch law and does not provide medical treatment (behandeling) within the meaning of the WGBO (Wet op de Geneeskundige Behandelingsovereenkomst). No doctor-patient relationship or treatment relationship is created through use of the Services."

You should consult a qualified healthcare professional for any medical concerns, symptoms, or conditions. Hailo's Insights are generated by an evidence-based algorithmic system and are not individually reviewed or approved by a physician. All health decisions should be made in consultation with a licensed medical professional.

5. Ordering and fulfilment

• Order placement. You place an order for laboratory tests via the Hailo Platform by selecting Your chosen test panel and confirming Your purchase.

• Payment processing. Payment for Your order is processed via Mollie B.V. (a Dutch payment service provider). By placing an order, You authorise Hailo to charge the agreed fee to Your selected payment method.

• Kit preparation and shipping. Following successful payment, Hailo arranges for the preparation of Your personalised lab kit and its shipment to the address You provide. Hailo's logistics partner, PMO Nederland, manages kit fulfillment and delivery.

• Blood draw. You will receive instructions on how to visit an assigned blood draw location to provide Your sample. You are responsible for attending Your scheduled appointment and following all preparation instructions (e.g., fasting if required).

• Lab analysis. Your sample is processed by an ISO-certified laboratory partner (Med Lab Stein) in accordance with medical and safety standards.

• Results delivery. Your results are delivered digitally to the Hailo Dashboard. Estimated turnaround from blood draw to results: [TBD].

• Turnaround times. Hailo will use reasonable efforts to deliver results within the estimated timeframe, but does not guarantee specific turnaround times. Delays may occur due to sample quality, lab capacity, or logistical factors beyond Hailo's control.

6. Subscription and pricing

• Subscription model. The Hailo Service operates on an annual subscription basis at a price of EUR [TBD] per annum.

• What is included. The annual Subscription includes: (a) one baseline laboratory test panel, (b) unlimited Dashboard access, (c) evidence-based Insights for Your results, (d) action recommendations, and (e) basic progress tracking functionality.

• Optional add-ons. Additional services and progress tests are available for purchase at prices specified on the Platform. [TBD]

• VAT. All prices displayed include Dutch Value Added Tax (VAT) at 21%. [TBD]

• Price changes. Hailo may adjust subscription pricing with 30 days' advance written notice to You. Price changes apply to Your next renewal date. If You do not wish to accept a price increase, You may cancel Your Subscription before the change takes effect.

• Auto-renewal compliance. Your Subscription auto-renews annually unless You cancel. Hailo will send You a reminder notice at least 14 days before Your renewal date, in accordance with Dutch consumer protection law for distance contracts.

7. Payment terms

• Payment timing. Payment is due at the time You place Your order or renew Your Subscription.

• Payment methods. Payment is processed via Mollie B.V., which offers multiple payment options including credit card, debit card, iDEAL, and other methods displayed on the Platform.

• Failed payments. If Your payment fails, Hailo will notify You by email. If payment is not received within [TBD] of the original due date, Hailo may suspend or terminate Your access to the Service.

• Currency. All amounts are expressed in euros (EUR).

• No cash payments. Hailo does not accept cash payments.

8. Right of withdrawal (Herroepingsrecht)

This section governs Your statutory right to withdraw from this Agreement under Dutch distance selling regulations (Wet Koop op Afstand) and EU Directive 2011/83/EU (Consumer Rights Directive).

Cooling-off period

You have a 14-day cooling-off period to withdraw from this Agreement without giving any reason. This period begins on the date of Your order.

Expiry of withdrawal right

Your right of withdrawal expires when:

• The lab kit has been shipped to You and You have received it, OR

• You have attended a blood draw appointment and provided Your sample, OR

• The Service has begun to be performed with Your prior express consent, OR

• Digital results have been delivered to Your Dashboard.

This exception applies because the Service is partially personalisable, perishable, or time-sensitive in nature, and You have expressly requested or permitted commencement of the Service before expiry of the cooling-off period.

How to withdraw

To withdraw, You must send a clear written statement to info@hailo.health with the subject line "Withdrawal of Consent" and include Your name, email address, Account ID (if applicable), and order reference number.

Deadline

Your withdrawal notice must be received by Hailo within 14 days of the date of Your order to be valid.

Refund processing

Hailo will process Your refund within 14 days of receiving a valid withdrawal notice, using the original payment method.

9. User obligations

• Accuracy and honesty. You agree to provide accurate and truthful information during registration and when completing health assessments or providing Health Data. False or misleading information may result in inaccurate Insights and could compromise Your health and safety.

• Following instructions. You agree to follow all preparation instructions for laboratory tests, including any fasting requirements, medication guidance, or sample collection procedures.

• No self-diagnosis. You agree not to use the Service as a substitute for professional medical diagnosis, treatment, or advice. All health concerns should be discussed with a qualified healthcare professional.

• Account security. You agree to keep Your Account credentials confidential and not to share them with any third party.

• Appointment attendance. You are responsible for attending Your assigned blood draw appointment at the scheduled time and location.

• Reporting concerns. If You experience any adverse effects, health changes, or concerns following a blood draw or based on Your results, You agree to contact a qualified healthcare professional immediately and not to rely solely on Hailo's guidance.

• Prohibition on misuse. You agree not to reverse-engineer, decompile, scrape, or otherwise misuse the Platform or attempt to extract or use Hailo's proprietary methodologies, data, or algorithms for any purpose.

10. Intellectual property

• Hailo's property. All Platform content, software, design, Insights templates, methodologies, algorithms, know-how, and other intellectual property remain the exclusive property of Hailo B.V. or its licensors. Certain technology components used in generating health interpretations are provided by third-party licensors and remain the intellectual property of those licensors. Hailo retains ownership of all customer data, customisations, and configurations.

• Limited license. Hailo grants You a limited, non-exclusive, non-transferable, revocable license to use the Platform and Services solely for Your personal, non-commercial use, subject to these Terms.

• Your data. You retain ownership of Your personal data and Health Data in the form You provide it. However, by using the Service, You grant Hailo a worldwide, royalty-free license to use, process, and analyse Your data for the purposes of delivering the Services and improving the Platform (subject to the Privacy Policy).

• Restrictions. You may not reproduce, distribute, sell, rent, lease, transfer, assign, or otherwise exploit any Content or intellectual property of Hailo without prior written consent.

• Trademarks. The "Hailo" name and logo are registered trademarks of Hailo B.V. You may not use these trademarks without prior written authorization.

11. Data protection and privacy

• Governing Privacy Policy. The processing of Your personal data is governed by the Hailo Privacy Policy, available at [TBD]. The Privacy Policy forms an integral part of these Terms.

• Health data processing. Your Health Data is processed as special category personal data under Article 9 of the General Data Protection Regulation (GDPR). Hailo processes Health Data only on the basis of Your explicit written consent (GDPR Article 9(2)(a)) and for the limited purposes of delivering the Services, providing Insights, and improving the Platform.

• Storage and security. Your data is hosted exclusively in Azure West Europe (Netherlands), within the EEA. All Health Data is encrypted at rest using AES-256-GCM and in transit using HTTPS.

• Cookie Policy. Hailo's use of cookies and tracking technologies is governed by the Cookie Policy, available at [TBD]. Your consent to cookies is obtained separately from Your consent to these Terms.

• Data subject rights. You retain all rights under the GDPR, including the right to access, rectification, erasure, and data portability. To exercise these rights, email privacy@hailo.health.

12. Limitation of liability

Service provision. Hailo provides the Services "as is" to the extent permitted by mandatory Dutch consumer protection law.

Exclusions of liability. Hailo shall not be liable for:

• Any medical decisions You make based on Platform information or Insights

• Delays, errors, or inaccuracies in laboratory results or analysis caused by third-party laboratory partners

• Your failure to seek professional medical advice or to attend medical appointments

• Indirect, incidental, special, consequential, or punitive damages (including loss of profits, data loss, or business interruption), even if Hailo has been advised of the possibility of such damages

• Force majeure events (see Section 16)

Liability cap. To the fullest extent permitted by law, Hailo's total aggregate liability arising out of or relating to these Terms or the Services shall not exceed the total fees You have paid to Hailo in the 12 months preceding the claim.

Non-exclusion of mandatory liability. Nothing in these Terms excludes or limits Hailo's liability for:

• Wilful misconduct (opzet) or gross negligence (grove schuld)

• Death or personal injury caused by Hailo's negligence

• Fraud or fraudulent misrepresentation

• Any liability that cannot be excluded or limited under mandatory Dutch consumer protection law

13. Disclaimer of warranties

"As-is" service. The Platform and Services are provided on an "as is" basis without any express or implied warranties.

No specific outcomes. Hailo does not warrant that:

• The Platform will be error-free, uninterrupted, or always available

• Insights will be completely accurate or suitable for Your specific circumstances

• Any action recommendations will lead to specific health outcomes or biomarker changes

• The Service will meet Your expectations

Third-party laboratory results. Laboratory results are provided by third-party ISO-certified laboratories. Hailo does not perform the laboratory analysis itself and does not warrant the accuracy of laboratory results beyond the quality assurance standards of the Lab Partner.

Algorithmic Insights. Insights are generated by evidence-based algorithms and are not individually clinically reviewed by a physician. You acknowledge that health information, clinical evidence, and recommendations evolve over time and that Insights may be updated. Health interpretations may be generated in part using a third-party, evidence-based AI health interpretation engine operating as a data processor under GDPR. This provider receives pseudonymised data only and processes data exclusively within the European Economic Area. All AI-generated content is informational and educational only and does not constitute medical advice, diagnosis, or treatment.

No medical warranty. Hailo does not warrant that the Services will prevent, cure, or treat any health condition.

14. Indemnification

You agree to indemnify, defend, and hold harmless Hailo, its officers, directors, employees, and agents from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

• Your breach of these Terms or any Applicable Law

• Your misuse of the Platform or Services

• Your provision of false, misleading, or incomplete information

• Your violation of any third-party rights

15. Suspension and termination

User termination. You may terminate Your Subscription and Account at any time by deleting Your Account via the Platform settings or by emailing info@hailo.health with a termination request.

Effect of user termination. Upon termination by You, Your access to the Platform and Services ceases immediately. Your personal data and Health Data will be handled in accordance with the Data Retention Schedule in the Privacy Policy (typically: 30-day grace period for re-activation, followed by cascade deletion of all personal data).

Hailo suspension. Hailo may suspend Your Account immediately if:

• You breach a material provision of these Terms

• Hailo reasonably suspects fraudulent activity, misuse, or illegal conduct

• Your payment fails and is not remedied within the grace period

• A law enforcement agency or government body directs Hailo to do so

Hailo termination. Hailo may terminate these Terms and Your Account for the reasons listed above, or for convenience with 90 days' prior written notice to You [TBD].

Refund on Hailo-initiated termination. If Hailo terminates Your Subscription for convenience (not due to Your breach), You will receive a pro-rata refund of any unused Subscription fees for the remainder of Your subscription period. [TBD]

Survival. The following sections survive any termination: Limitation of Liability (Section 12), Disclaimer of Warranties (Section 13), Indemnification (Section 14), Intellectual Property (Section 10), and Governing Law (Section 17).

16. Force majeure

Definition. Neither party shall be liable for any failure to perform or delay in performing its obligations under these Terms if such failure or delay is caused by circumstances beyond the reasonable control of that party.

Examples. Force majeure events include: pandemic or epidemic, government action or regulation, war or civil unrest, utility failure, internet or telecommunications outages, third-party service provider failures, natural disasters, or labour disputes.

Remedies. If a force majeure event persists for more than 60 consecutive days, either party may terminate these Terms by written notice to the other party.

17. Dispute resolution and governing law

Governing law. These Terms and any dispute arising from or related to them are governed by and construed in accordance with the laws of the Netherlands, without regard to its conflict of law principles.

Amicable resolution. Before initiating any legal proceedings, the parties agree to attempt to resolve any dispute amicably through good faith negotiation within 30 days.

Competent court. Any legal action or proceeding arising from or relating to these Terms shall be brought exclusively in the competent courts of Amsterdam (Rechtbank Amsterdam), and You consent to the personal jurisdiction and venue of such courts.

EU ODR platform. In accordance with EU Regulation 524/2013, You are informed that the European Commission provides an online dispute resolution (ODR) platform available at [TBD]. Hailo is not obliged to use this platform but will cooperate if You choose to do so.

Consumer rights. These Terms do not affect Your mandatory legal rights as a consumer under Dutch law. If any provision of these Terms is found to be unenforceable under consumer protection law, such provision shall be reformed to the minimum extent necessary to make it enforceable, and Your statutory consumer rights shall apply.

18. Miscellaneous

• Severability. If any provision of these Terms is held to be invalid, illegal, or unenforceable, such provision shall be severed, and the remaining provisions shall continue in full force and effect.

• Waiver. The failure of Hailo to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

• Entire agreement. These Terms, together with the Privacy Policy, Medical Disclaimer, and Cookie Policy, constitute the entire agreement between You and Hailo regarding the Services and supersede all prior negotiations, agreements, and understandings.

• Assignment. Hailo may assign or transfer these Terms to any successor or affiliate without Your consent. You may not assign or transfer these Terms or Your rights hereunder without Hailo's prior written consent.

• Notices. All notices to You shall be sent to the email address associated with Your Account or to Your registered residential address. All notices to Hailo shall be sent to info@hailo.health.

• Interpretation. In the event of a conflict between the English version of these Terms and any translation, the English version shall prevail.

De volgende tekst is de Nederlandse versie van de Algemene Voorwaarden. In het geval van een conflict tussen de Engelse versie en deze vertaling, prevaleert de Engelse versie.

1. Definities

In deze Algemene Voorwaarden (de "Voorwaarden") hebben de volgende gedefinieerde termen de hieronder aangegeven betekenis:

• "Account": het persoonlijke gebruikersaccount dat U op het Hailo Platform aanmaakt, met daarin Uw profiel, Gezondheidsgegevens, en accountinstellingen.

• "Inhoud": alle tekst, gegevens, informatie, Inzichten, aanbevelingen, grafieken, educatief materiaal, en ander materiaal weergegeven op of verzonden via het Platform.

• "Dashboard": de persoonlijke online interface die door Hailo wordt verstrekt, waar U Uw laboratoriumresultaten, Inzichten, actieaanbevelingen, en voortgangstracking kunt bekijken.

• "Hailo" of "Wij": Hailo B.V., KvK 96483482, Prinsengracht 769 A, 1017 JZ Amsterdam, Nederland.

• "Gezondheidsgegevens": alle persoonlijke gezondheids- en welzijnsinformatie die U verstrekt of die door de Dienst wordt gegenereerd, inclusief laboratoriumtestresultaten, biomarkermetingen, medische geschiedenis, en leefstijlinformatie.

• "Inzichten": op bewijs gebaseerde welzijnsinterpretaties en aanbevelingen gegenereerd door het intelligente systeem van Hailo op basis van Uw laboratoriumresultaten en Gezondheidsgegevens.

• "Laboratoriumpartner": het laboratorium of de laboratoria ingeschakeld door Hailo voor de analyse van Uw monsters en het leveren van laboratoriumresultaten.

• "Platform": het Hailo onlineplatform en mobiele applicatie(s), inclusief het Dashboard, bestelinterface, en resultatenleveringssysteem.

• "Privacybeleid": het gegevensbeschermings- en privacybeleid van Hailo, beschikbaar op https://hailo.health/nl/privacybeleid.

• "Diensten" of "Dienst": het Hailo-platform dat informatieve welzijnsinzichten levert op basis van laboratoriumtestresultaten. De Diensten omvatten: (a) het bestellen en vervullen van laboratoriumtestsets, (b) het Dashboard voor het bekijken van resultaten en trends, (c) Inzichten op basis van Uw testresultaten, en (d) actieaanbevelingen. De Diensten vormen geen medisch advies, diagnose, behandeling, of beroepsmatige medische zorg.

• "Abonnement": Uw actieve jaarlijkse abonnement op de Hailo Dienst tegen de overeengekomen prijs.

• "Gebruiker" of "U": elke natuurlijke persoon van 18 jaar of ouder die een Account aanmaakt en het Hailo Platform gebruikt.

• "Welzijnsinformatie": alle Gezondheidsgegevens, leefstijlinformatie, beoordelingsresultaten, en andere gegevens die U verstrekt ter ondersteuning van de Dienst.

2. Bereik en toepasselijkheid

Deze Algemene Voorwaarden regelen Uw toegang tot en gebruik van het Hailo Platform, de Diensten, en alle gerelateerde inhoud en functionaliteit.

Door een Account aan te maken op het Hailo Platform, of door de Diensten op welke wijze dan ook te gebruiken, accepteert U deze Voorwaarden, het Privacybeleid, en de Medische Disclaimer (beschikbaar op https://hailo.health/nl/medische-disclaimer).

Deze Voorwaarden, het Privacybeleid, en de Medische Disclaimer vormen samen de volledige overeenkomst tussen U en Hailo met betrekking tot Uw gebruik van de Dienst.

Toepasselijk recht

Deze Voorwaarden worden beheerst door en uitgelegd in overeenstemming met de wetten van Nederland, zonder inachtneming van zijn conflictrechtbeginselen. In het bijzonder vallen de Voorwaarden van Hailo onder het Nederlandse consumentenbeschermingsrecht, inclusief het Burgerlijk Wetboek, Boek 6, Titel 5, Afdeling 3 (Algemene Voorwaarden).

Beschikbaarheid en wijziging

Hailo stelt deze Voorwaarden ter beschikking voor download en opslag vóór en na Accountaanmaak. U kunt op elk moment een kopie aanvragen door naar info@hailo.health te e-mailen.

Hailo mag deze Voorwaarden wijzigen met 30 dagen voorafgaande kennisgeving aan U per e-mail. Voortgezet gebruik van de Dienst na de kennisgevingsperiode vormt aanvaarding van de gewijzigde Voorwaarden. Voor wezenlijke wijzigingen die Uw rechten wezenlijk verminderen, zal Hailo Uw hernieuwde toestemming verkrijgen voordat de wijzigingen van kracht worden.

3. Accountregistratie en geschiktheid

• Minimumleeftijd. U moet ten minste 18 jaar oud zijn om een Account aan te maken en de Hailo Dienst te gebruiken.

• Woonplaats. Voor de huidige versie (v1) van de Dienst moet U in Nederland wonen.

• Juistheid van informatie. U gaat ermee akkoord nauwkeurige, volledige, en actuele informatie te verstrekken tijdens de registratie en de juistheid van Uw accountinformatie te behouden.

• Eén account per persoon. U mag niet meer dan één Account voor persoonlijk gebruik aanmaken. U gaat ermee akkoord Uw accountgegevens niet met derden te delen.

• Accountbeveiliging. U bent uitsluitend verantwoordelijk voor het geheim houden van Uw wachtwoord en accountgegevens. U gaat ermee akkoord Hailo onmiddellijk in kennis te stellen van elk onbevoegd gebruik van Uw Account.

• Recht tot opschorting. Hailo behoudt zich het recht voor Uw Account op elk moment op te schorten of te beëindigen als Hailo gerechtvaardigde redenen heeft om aan te nemen dat U deze Voorwaarden hebt overtreden, valse informatie hebt verstrekt, of zich schuldig hebt gemaakt aan frauduleus, onwettig, of schadelijk gedrag.

4. Servicebeschrijving

Hailo biedt een intelligent laboratoriumtestplatform ontworpen voor algemeen welzijn en preventie. Via de Dienst kunt U:

• Laboratoriumtestsets bestellen afgestemd op Uw profiel en gezondheidsinteresses

• Laboratoriumtestresultaten ontvangen via het Hailo Dashboard

"De Diensten zijn informatief en educatief van aard. Zij vormen geen medisch advies, diagnose, behandeling, of vervanging van beroepsmatige medische zorg. Hailo is geen zorgaanbieder in de zin van de Nederlandse wet en verleent geen behandeling in de zin van de WGBO (Wet op de Geneeskundige Behandelingsovereenkomst). Door het gebruik van de Diensten ontstaat geen arts-patiëntrelatie of behandelovereenkomst."

U dient een gekwalificeerde medische beroepsbeoefenaar te raadplegen voor eventuele medische zorgen, symptomen, of aandoeningen. De Inzichten van Hailo worden gegenereerd door een op bewijs gebaseerd algoritmisch systeem en worden niet individueel door een arts beoordeeld of goedgekeurd. Alle gezondheidsbeslissingen dienen te worden genomen in overleg met een erkende medische beroepsbeoefenaar.

5. Bestellen en uitvoering

• Bestelling plaatsen. U plaatst een bestelling voor laboratoriumtesten via het Hailo Platform door Uw gekozen testpanel te selecteren en Uw aankoop te bevestigen.

• Betalingsverwerking. Betaling voor Uw bestelling wordt verwerkt via Mollie B.V. (een Nederlandse betalingsserviceprovider). Door een bestelling te plaatsen, autoriseert U Hailo het overeengekomen bedrag van Uw geselecteerde betalingsmethode af te schrijven.

• Kitvoorbereiding en verzending. Na succesvolle betaling regelt Hailo de voorbereiding van Uw gepersonaliseerde testset en de verzending naar het adres dat U opgeeft. De logistiekpartner van Hailo, PMO Nederland, beheert de kitafhandeling en levering.

• Bloedafname. U ontvangt instructies over hoe U een toegewezen locatie voor bloedafname kunt bezoeken om Uw monster te verstrekken. U bent verantwoordelijk voor het bijwonen van Uw geplande afspraak en het volgen van alle voorbereidingsinstructies (bijvoorbeeld vasten indien vereist).

• Laboratoriumanalyse. Uw monster wordt verwerkt door een ISO-gecertificeerde laboratoriumpartner (Med Lab Stein) in overeenstemming met medische en veiligheidsnormen.

• Resultatenlevering. Uw resultaten worden digitaal geleverd aan het Hailo Dashboard. Geschatte doorlooptijd van bloedafname tot resultaten: [TBD].

• Doorlooptijden. Hailo zal redelijke inspanningen doen om resultaten binnen de geschatte termijn te leveren, maar garandeert geen specifieke doorlooptijden. Vertragingen kunnen optreden als gevolg van monsterkwaliteit, laboratoriumcapaciteit, of logistieke factoren buiten Hailo's controle.

6. Abonnement en prijsstelling

• Abonnementsmodel. De Hailo Dienst werkt op basis van een jaarlijks abonnement tegen een prijs van EUR [TBD] per jaar.

• Wat is inbegrepen. Het jaarlijkse Abonnement omvat: (a) één basisproevenset voor laboratoriumtesten, (b) onbeperkte Dashboard-toegang, (c) op bewijs gebaseerde Inzichten voor Uw resultaten, (d) actieaanbevelingen, en (e) basale functionaliteit voor voortgangstracking.

• Optionele add-ons. Aanvullende diensten en vervolgstesten zijn beschikbaar voor aankoop tegen prijzen aangegeven op het Platform. [TBD]

• Btw. Alle aangegeven prijzen zijn inclusief Nederlandse Omzetbelasting (Btw) van 21%. [TBD]

• Prijswijzigingen. Hailo mag abonnementsprijzen aanpassen met 30 dagen voorafgaande schriftelijke kennisgeving aan U. Prijswijzigingen gelden voor Uw volgende verlengingsdatum. Indien U een prijsstijging niet accepteert, kunt U Uw Abonnement vóór de wijziging beëindigen.

• Automatische verlenging. Uw Abonnement verlengt automatisch jaarlijks tenzij U het beëindigt. Hailo stuurt U een herinneringsbericht minstens 14 dagen vóór Uw verlengingsdatum, in overeenstemming met het Nederlandse consumentenbeschermingsrecht voor afstandscontracten.

7. Betalingscondities

• Betalingstiming. Betaling is verschuldigd op het moment dat U Uw bestelling plaatst of Uw Abonnement verlengt.

• Betalingsmethoden. Betaling wordt verwerkt via Mollie B.V., die meerdere betalingsopties biedt, inclusief creditcard, betaalpas, iDEAL, en andere methoden weergegeven op het Platform.

• Mislukte betalingen. Als Uw betaling mislukt, zal Hailo U per e-mail op de hoogte stellen. Indien betaling niet wordt ontvangen binnen [TBD] van de oorspronkelijke vervaldatum, mag Hailo Uw toegang tot de Dienst opschorten of beëindigen.

• Valuta. Alle bedragen zijn uitgedrukt in euro's (EUR).

• Geen contante betalingen. Hailo accepteert geen contante betalingen.

8. Herroepingsrecht

Dit gedeelte regelt Uw wettelijke recht zich terug te trekken uit deze Overeenkomst onder de Nederlandse afstandsverkoopregelgeving (Wet Koop op Afstand) en EU-Richtlijn 2011/83/EU (Consumentenrechtenrichtlijn).

Bedenktermijn

U hebt een periode van 14 dagen om zich van deze Overeenkomst terug te trekken zonder enige reden op te geven. Deze periode begint op de datum van Uw bestelling.

Beëindiging van herroepingsrecht

Uw recht van herroeping vervalt wanneer:

• De testset naar U is verzonden en U deze hebt ontvangen, OF

• U een afspraak voor bloedafname hebt gehad en Uw monster hebt verstrekt, OF

• De Dienst is begonnen te worden geleverd met Uw voorafgaande uitdrukkelijke toestemming, OF

• Digitale resultaten naar Uw Dashboard zijn geleverd.

Deze uitzondering is van toepassing omdat de Dienst gedeeltelijk personaliseerbaar, bederfelijk, of tijdgebonden van aard is, en U de Dienst uitdrukkelijk hebt aangevraagd of toegestaan vóór afloop van de bedenktermijn.

Trigger point voor herroepingsrecht: [TBD].

Terugtrekking

Om U terug te trekken, moet U een duidelijke schriftelijke verklaring naar info@hailo.health sturen met als onderwerp "Terugtrekking van Toestemming" en voeg Uw naam, e-mailadres, Account-ID (indien van toepassing), en bestellingreferentienummer toe.

Deadline

Uw terugtrekkingsmededeling moet binnen 14 dagen na Uw bestellingsdatum door Hailo worden ontvangen om geldig te zijn.

Terugbetaling

Hailo zal Uw terugbetaling binnen 14 dagen na ontvangst van een geldige terugtrekkingsmededeling verwerken via de oorspronkelijke betalingsmethode.

9. Verplichtingen van gebruiker

• Juistheid en eerlijkheid. U gaat ermee akkoord nauwkeurige en waarheidsgetrouwe informatie te verstrekken tijdens de registratie en bij het invullen van gezondheidsbeoordelingen of het verstrekken van Gezondheidsgegevens.

• Het volgen van instructies. U gaat ermee akkoord alle voorbereidingsinstructies voor laboratoriumtesten op te volgen, inclusief vastenvereisten, medicijnbegeleiding, of verzamelingsprocedures voor monsters.

• Geen zelfdiagnose. U gaat ermee akkoord de Dienst niet als vervanging voor beroepsmatige medische diagnose, behandeling, of advies te gebruiken.

• Accountbeveiliging. U gaat ermee akkoord Uw accountgegevens vertrouwelijk te houden en deze niet met derden te delen.

• Afspraakbijwoning. U bent verantwoordelijk voor het bijwonen van Uw toegewezen afspraak voor bloedafname op het geplande moment en de plaats.

• Melding van zorgen. Indien U na een bloedafname of op basis van Uw resultaten enige bijwerkingen, gezondheidsveranderingen, of zorgen ervaart, gaat U ermee akkoord onmiddellijk een gekwalificeerde medische beroepsbeoefenaar te contacteren en niet alleen op Hailo's begeleiding te vertrouwen.

• Verbod op misbruik. U gaat ermee akkoord het Platform niet te reverse-engineeren, decompileren, scrapen, of op enige andere manier te misbruiken.

10. Intellectueel eigendom

• Eigendom van Hailo. Alle Platforminhoud, software, design, Inzichten-templates, methodologieën, algoritmen, knowhow, en ander intellectueel eigendom blijven uitsluitend eigendom van Hailo B.V. of haar licentiegevers.

• Beperkte licentie. Hailo verleent U een beperkte, niet-exclusieve, niet-overdraagbare, herroepbare licentie om het Platform en de Diensten uitsluitend voor persoonlijk, niet-commercieel gebruik te gebruiken, onderworpen aan deze Voorwaarden.

• Uw gegevens. U behoudt eigendom van Uw persoonlijke gegevens en Gezondheidsgegevens in de vorm waarin U deze verstrekt. Door de Dienst echter te gebruiken, verleent U Hailo een wereldwijde, royaltyvrije licentie om Uw gegevens te gebruiken, te verwerken, en te analyseren voor het doel van het leveren van de Diensten en het verbeteren van het Platform (onderworpen aan het Privacybeleid).

• Beperkingen. U mag geen Inhoud of intellectueel eigendom van Hailo reproduceren, distribueren, verkopen, huren, leasen, overdragen, toewijzen, of op enige andere manier exploiteren zonder voorafgaande schriftelijke toestemming.

• Handelsmerken. De naam "Hailo" en het logo zijn geregistreerde handelsmerken van Hailo B.V. U mag deze handelsmerken niet zonder voorafgaande schriftelijke autorisatie gebruiken.

11. Gegevensbescherming en privacy

• Privacybeleid van toepassing. De verwerking van Uw persoonlijke gegevens wordt beheerst door het Hailo Privacybeleid, beschikbaar op [TBD]. Het Privacybeleid vormt een integrerend deel van deze Voorwaarden.

• Verwerking van gezondheidsgegevens. Uw Gezondheidsgegevens worden als bijzondere categorie persoonlijke gegevens verwerkt onder Artikel 9 van de Algemene Verordening Gegevensbescherming (AVG). Hailo verwerkt Gezondheidsgegevens alleen op basis van Uw uitdrukkelijke schriftelijke toestemming (AVG Artikel 9(2)(a)) en voor de beperkte doeleinden van het leveren van de Diensten, het verstrekken van Inzichten, en het verbeteren van het Platform.

• Opslag en beveiliging. Uw gegevens worden uitsluitend in Azure West Europe (Nederland) gehost, binnen de EER. Alle Gezondheidsgegevens worden versleuteld in rust met AES-256-GCM en in transport met HTTPS.

• Cookiebeleid. Het gebruik van cookies en trackingtechnologieën door Hailo wordt beheerst door het Cookiebeleid, beschikbaar op [TBD]. Uw toestemming voor cookies wordt apart van Uw toestemming voor deze Voorwaarden verkregen.

• Rechten van betrokkenen. U behoudt alle rechten onder de AVG, inclusief het recht op toegang, rectificatie, wissing, en gegevensportabiliteit. Om deze rechten uit te oefenen, e-mail privacy@hailo.health.

12. Beperking van aansprakelijkheid

Dienstverlening. Hailo levert de Diensten "als is" voor zover toegestaan door het verplichte Nederlandse consumentenbeschermingsrecht.

Uitzonderingen op aansprakelijkheid. Hailo is niet aansprakelijk voor:

• Alle medische beslissingen die U neemt op basis van Platforminformatie of Inzichten

• Vertragingen, fouten, of onnauwkeurigheden in laboratoriumresultaten of analyse veroorzaakt door laboratoriumpartners van derden

• Uw nalaten professioneel medisch advies in te winnen of medische afspraken bij te wonen

• Indirecte, incidentele, speciale, gevolgschade, of punitieve schadevergoeding (inclusief winstderving, gegevensverlies, of bedrijfsonderbreking), zelfs als Hailo van de mogelijkheid van dergelijke schadevergoeding is gewaarschuwd

• Overmachtgebeurtenissen (zie Gedeelte 16)

Aansprakelijkheidslimiet. Voor zover toegestaan door de wet, zal de totale cumulatieve aansprakelijkheid van Hailo voortvloeiend uit of gerelateerd aan deze Voorwaarden of de Diensten niet groter zijn dan de totale vergoeding die U in de 12 maanden voorafgaand aan de claim aan Hailo hebt betaald.

Geen uitsluiting van verplichte aansprakelijkheid. Deze Voorwaarden sluiten of beperken de aansprakelijkheid van Hailo niet voor:

• Opzet of grove schuld

• Dood of lichamelijk letsel veroorzaakt door schuld van Hailo

• Fraude of frauduleuze vertegenwoordiging

• Enige aansprakelijkheid die niet kan worden uitgesloten of beperkt onder het verplichte Nederlandse consumentenbeschermingsrecht

13. Verklaring aangaande garanties

"Als is" dienst. Het Platform en de Diensten worden verstrekt op een "als is" basis zonder enige uitdrukkelijke of impliciete garanties.

Geen specifieke resultaten. Hailo garandeert niet dat:

• Het Platform zonder fouten is, ononderbroken werkt, of altijd beschikbaar is

• Inzichten volledig nauwkeurig of geschikt voor Uw specifieke omstandigheden zullen zijn

• Actieaanbevelingen tot specifieke gezondheidsresultaten of biomarkerveranderingen zullen leiden

• De Dienst aan Uw verwachtingen zal voldoen

Laboratoriumresultaten van derden. Laboratoriumresultaten worden verstrekt door laboratoriumpartners van derden met ISO-certificering. Hailo voert zelf geen laboratoriumanalyse uit en garandeert de juistheid van laboratoriumresultaten niet verder dan de kwaliteitswaarborgnormen van de Laboratoriumpartner.

Algoritmische inzichten. Inzichten worden gegenereerd door op bewijs gebaseerde algoritmen en worden niet individueel klinisch door een arts beoordeeld. U erkent dat gezondheidsinformatie, klinisch bewijs, en aanbevelingen in de loop van de tijd evolueren en dat Inzichten kunnen worden bijgewerkt.

Geen medische garantie. Hailo garandeert niet dat de Diensten enige gezondheidsaandoening zullen voorkomen, genezen, of behandelen.

14. Schadevergoeding

U gaat ermee akkoord Hailo, haar functionarissen, bestuurders, werknemers, en agenten schadeloos te stellen en vrij te houden van en tegen alle vorderingen, schadevergoeding, aansprakelijkheden, kosten, en uitgaven (inclusief redelijke advocaathonoraria) voortvloeiend uit:

• Uw inbreuk op deze Voorwaarden of enige toepasselijke wet

• Uw misbruik van het Platform of de Diensten

• Uw verstrekking van valse, misleidende, of onvolledige informatie

• Uw schending van enige rechten van derden

15. Opschorting en beëindiging

Beëindiging door gebruiker. U kunt Uw Abonnement en Account op elk moment beëindigen door Uw Account via de Platform-instellingen te verwijderen of door info@hailo.health een beëindigingsverzoek per e-mail te sturen.

Gevolg van beëindiging door gebruiker. Na beëindiging door U, stopt Uw toegang tot het Platform en de Diensten onmiddellijk. Uw persoonlijke gegevens en Gezondheidsgegevens zullen worden behandeld in overeenstemming met het Gegevensbewaarschema in het Privacybeleid (typisch: 30-daagse respijtperiode voor heropening, gevolgd door cascade-verwijdering van alle persoonlijke gegevens).

Opschorting door Hailo. Hailo mag Uw Account onmiddellijk opschorten als:

• U een wezenlijke bepaling van deze Voorwaarden overtreedt

• Hailo redelijkerwijs frauduleuze activiteit, misbruik, of illegaal gedrag vermoedt

• Uw betaling mislukt en niet wordt hersteld binnen de respijtperiode

• Een wetshandhavingsinstantie of overheidsinstantie Hailo hierom verzoekt

Beëindiging door Hailo. Hailo mag deze Voorwaarden en Uw Account om de hierboven genoemde redenen beëindigen, of voor het gemak met 90 dagen voorafgaande schriftelijke kennisgeving aan U [TBD].

Terugbetaling bij beëindiging door Hailo. Als Hailo Uw Abonnement voor het gemak beëindigt (niet vanwege Uw inbreuk), ontvangt U een pro-rata terugbetaling van alle ongebruikte Abonnementsbedragen voor het restant van Uw abonnementsperiode. [TBD]

Voortbestaan. De volgende gedeelten blijven na enige beëindiging bestaan: Beperking van Aansprakelijkheid (Gedeelte 12), Verklaring aangaande Garanties (Gedeelte 13), Schadevergoeding (Gedeelte 14), Intellectueel Eigendom (Gedeelte 10), en Toepasselijk Recht (Gedeelte 17).

16. Overmacht

Definitie. Geen van beide partijen is aansprakelijk voor enig falen in prestatie of vertraging in prestatie van zijn verplichtingen onder deze Voorwaarden als zulks falen of vertraging wordt veroorzaakt door omstandigheden buiten de redelijke controle van die partij.

Voorbeelden. Overmachtgebeurtenissen omvatten: pandemie of epidemie, overheidsmaatregelen of regelgeving, oorlog of burgeronrust, utiliteitsfout, internet- of telecommunicatiestoring, falen van serviceproviders van derden, natuurrampen, of arbeidsgeschillen.

Rechtsmiddelen. Als een overmachtgebeurtenis langer dan 60 achtereenvolgende dagen aanhoudt, mag elk van beide partijen deze Voorwaarden beëindigen door schriftelijke kennisgeving aan de andere partij.

17. Geschillenbeslechting en toepasselijk recht

Toepasselijk recht. Deze Voorwaarden en elk geschil voortvloeiend uit of gerelateerd aan deze Voorwaarden worden beheerst door en uitgelegd in overeenstemming met de wetten van Nederland, zonder inachtneming van zijn conflictrechtbeginselen.

Minnelijke regeling. Voordat zij enige rechtszaak aanspannen, gaan de partijen ermee akkoord elk geschil in goed vertrouwen minnelijk op te lossen binnen 30 dagen.

Bevoegde rechtbank. Elk wettelijk geding of procedure voortvloeiend uit of gerelateerd aan deze Voorwaarden wordt uitsluitend gebracht voor de bevoegde rechtbank van Amsterdam (Rechtbank Amsterdam), en U geeft toestemming voor de persoonlijke jurisdictie en plaats van zulke rechtbanken.

EU ODR-platform. In overeenstemming met EU-Verordening 524/2013 wordt U geïnformeerd dat de Europese Commissie een online geschillenbeslechtings (ODR) platform beschikbaar stelt op [TBD]. Hailo is niet verplicht dit platform te gebruiken maar zal samenwerken als U ervoor kiest.

Consumentenrechten. Deze Voorwaarden beïnvloeden Uw verplichte wettelijke rechten als consument onder het Nederlandse recht niet. Als enige bepaling van deze Voorwaarden onwettig, ongeldig, of onafdwingbaar blijkt te zijn, zal dergelijke bepaling worden hersteld tot de minimaal noodzakelijke mate om deze afdwingbaar te maken, en Uw statutaire consumentenrechten zijn van toepassing.

18. Divers

• Salvatorische clausule. Als enige bepaling van deze Voorwaarden ongeldig, illegaal, of onafdwingbaar wordt bevonden, wordt dergelijke bepaling verwijderd en blijven de resterende bepalingen in volledige werking en effect.

• Verzaking. Het nalaten van Hailo om enig recht of bepaling van deze Voorwaarden af te dwingen vormt geen verzaking van dat recht of bepaling.

• Gehele overeenkomst. Deze Voorwaarden, samen met het Privacybeleid, de Medische Disclaimer, en het Cookiebeleid, vormen de gehele overeenkomst tussen U en Hailo met betrekking tot de Diensten en vervangen alle voorafgaande onderhandelingen, overeenkomsten, en begripsverhoudingen.

• Cessie. Hailo mag deze Voorwaarden aan enige opvolger of gelieerde afstaan zonder Uw toestemming. U mag deze Voorwaarden of Uw rechten zonder voorafgaande schriftelijke toestemming van Hailo niet afstaan of overdragen.

• Kennisgevingen. Alle kennisgevingen aan U worden verzonden naar het e-mailadres dat met Uw Account is gekoppeld of naar Uw geregistreerde woonplaats. Alle kennisgevingen aan Hailo worden verzonden naar info@hailo.health.

• Interpretatie. In het geval van een conflict tussen de Engelse versie van deze Voorwaarden en enige vertaling zal de Engelse versie prevaleren.
